BY ACCESSING OR USING THE UTRACK INC WEBSITE, MOBILE APPLICATIONS, OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.
THESE TERMS AND CONDITIONS CAN BE CHANGED, MODIFIED, SUPPLEMENTED, AND/OR UPDATED BY UTRACK INC AT ANY TIME WITHOUT PRIOR NOTICE. YOUR CONTINUED USE OF THE SERVICE AFTER ANY SUCH CHANGES CONSTITUTES YOUR ACCEPTANCE OF THE NEW TERMS AND CONDITIONS.
1. USE OF WEBSITE, MOBILE APPLICATIONS, AND SERVICE
Service Definition
Utrack Inc (“Company,” “we,” “us,” or “our”) provides GPS tracking services through our website at https://utracki.ai, Android mobile application, iOS mobile application, and web application platform (collectively, the “Service”). Our Service includes vehicle tracking, personal tracking, asset tracking, and fleet management solutions utilizing real-time GPS coordinates, historical route data, and geofencing capabilities.
License Grant
Subject to the terms and conditions of this Agreement, Utrack Inc hereby grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or business tracking needs. This license does not include any right to resell or make commercial use of the Service or its contents beyond your authorized tracking activities.
Service Availability
The Company reserves the right to restrict, suspend, or terminate your access to the Service at any time, with or without cause, and with or without notice, in the Company’s sole discretion. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.
Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection and use of your location data and personal information.
2. REGISTRATION, ACCOUNTS, PASSWORDS AND SECURITY
Registration Requirements
To access certain features of the Service, you must register for an account by providing current, complete, and accurate information as prompted by the registration form. You represent and warrant that all information you provide is truthful and accurate, and you agree to maintain and update this information to keep it current, complete, and accurate.
Age Restrictions
You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into this Agreement. The Service is not intended for use by individuals under the age of 13, and we do not knowingly collect personal information from children under 13.
Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. You are liable for all activities that occur under your account, whether or not you authorized such activities.
Account Information Updates
You agree to promptly update your account information if any changes occur, including contact information, payment details, and tracking device assignments.
3. USER RESPONSIBILITIES AND PROHIBITED USES
Lawful Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Service complies with all applicable local, state, national, and international laws and regulations.
Prohibited Activities
You agree NOT to use the Service for any of the following prohibited activities:
- Tracking individuals without their knowledge or consent where legally required
- Stalking, harassment, or any form of unwanted surveillance
- Violating any person’s privacy rights or reasonable expectation of privacy
- Circumventing or attempting to circumvent any security measures
- Reverse engineering, decompiling, or disassembling any part of the Service
- Using automated systems or software to extract data from the Service
- Interfering with or disrupting the Service or servers connected to the Service
- Transmitting viruses, malware, or other harmful code
- Impersonating any person or entity or misrepresenting your affiliation
- Using the Service for any illegal surveillance activities
- Sharing account credentials with unauthorized parties
- Attempting to gain unauthorized access to other users’ accounts or data
- Using the Service to violate any applicable laws regarding location tracking
- Interfering with GPS signals or attempting to manipulate location data
- Using the Service for commercial purposes beyond your authorized subscription
- Violating any intellectual property rights of Utrack Inc or third parties
- Posting or transmitting any unlawful, threatening, or inappropriate content
- Using the Service in any manner that could damage our reputation
- Attempting to sell, transfer, or sublicense your access to the Service
- Using the Service to track vehicles or assets you do not own or have permission to track
- Any other activity that violates the spirit or intent of these Terms
Enforcement
Utrack Inc reserves the right to investigate and take appropriate legal action against anyone who violates these prohibitions, including removing content, terminating accounts, and cooperating with law enforcement authorities.
4. ELECTRONIC COMMUNICATIONS CONSENT
Email Communications
By creating an account, you consent to receive electronic communications from us, including account notifications, service updates, security alerts, and administrative messages. These communications are part of your relationship with us and you may not opt out of them.
SMS Text Messages
You may opt in to receive SMS text messages for tracking alerts, geofencing notifications, and account security purposes. Standard message and data rates may apply. You can opt out of promotional SMS messages at any time by following the unsubscribe instructions in the message.
Marketing Communications
You may choose to receive marketing communications about new features, services, and promotions. You can opt out of marketing communications at any time through your account settings or by following unsubscribe instructions.
Delivery Disclaimer
We are not responsible for any delays, failures, or errors in the delivery of electronic communications due to technical issues, network problems, or other factors beyond our control.
5. CONTENT SUBMISSION AND USER DATA
License Grant
By submitting any content, data, or information to the Service, including location data, route information, or user-generated content, you grant Utrack Inc a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of providing and improving the Service.
User Representations
You represent and warrant that any content you submit:
- Is accurate and not misleading
- Does not violate any third-party rights
- Does not contain any unlawful or inappropriate material
- Complies with all applicable laws and regulations
Content Monitoring
Utrack Inc reserves the right, but has no obligation, to monitor, review, and remove any user-submitted content at our sole discretion.
Location Data
You acknowledge that the Service collects and processes real-time GPS coordinates, historical routes, and geofencing data at intervals up to 1 minute. This data is used to provide tracking services and may be stored for historical reporting purposes.
6. TERM AND TERMINATION
Agreement Duration
This Agreement remains in effect while you use the Service or maintain an account with us.
Termination by You
You may terminate your account at any time by contacting our customer support or using the account deletion feature in your account settings.
Termination by Company
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Effect of Termination
Upon termination:
- Your right to access and use the Service will cease immediately
- We may delete your account and all associated data
- You remain liable for all charges incurred prior to termination
- Sections relating to intellectual property, disclaimers, limitation of liability, and governing law will survive termination
Data Retention
Following account termination, we may retain certain data as required by law or for legitimate business purposes, as outlined in our Privacy Policy.
7. OWNERSHIP AND INTELLECTUAL PROPERTY
Company Property
The Service, including all software, technology, content, trademarks, and other materials, is owned by Utrack Inc and is protected by intellectual property laws. You acknowledge that the Service contains proprietary and confidential information.
User Content
You retain ownership of any content you submit to the Service, subject to the license granted in Section 5.
Third-Party Rights
You agree to respect the intellectual property rights of third parties and not to use the Service in any way that infringes upon such rights.
Trademark Notice
“Utrack” and related marks are trademarks of Utrack Inc. You may not use our trademarks without our prior written consent.
8. THIRD-PARTY SERVICES
Service Providers
Our Service integrates with third-party providers including:
- Unwired Labs: For reverse geocoding services
- TextGrid: For SMS alert delivery
- PayPal: For payment processing
Third-Party Terms
Your use of these integrated services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or policies of these third-party providers.
Service Availability
We do not guarantee the continued availability of third-party services and may change or discontinue integrations at any time.
9. PAYMENT TERMS AND BILLING
Subscription Fees
Access to certain features of the Service requires payment of subscription fees. All fees are non-refundable unless otherwise specified.
Payment Processing
Payments are processed through PayPal and other authorized payment processors. You agree to provide accurate payment information and authorize us to charge your selected payment method.
Automatic Renewal
Subscriptions automatically renew unless cancelled before the renewal date. You can manage your subscription through your account settings.
Price Changes
We reserve the right to change our pricing with 30 days’ notice to existing subscribers.
10. SERVICE LIMITATIONS AND DISCLAIMERS
GPS Accuracy
GPS tracking accuracy may vary based on environmental factors, device conditions, network coverage, and other technical limitations. We do not guarantee precise location accuracy at all times.
Service Availability
The Service depends on cellular networks, GPS satellites, and internet connectivity. We do not guarantee uninterrupted service availability.
Data Intervals
Location data is collected at intervals up to 1 minute, but actual intervals may vary based on device settings, network conditions, and battery optimization.
NO WARRANTIES
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. LIMITATION OF LIABILITY
Liability Limits
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTRACK INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES.
Maximum Liability
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Emergency Services
THE SERVICE IS NOT A SUBSTITUTE FOR EMERGENCY SERVICES. IN CASE OF EMERGENCY, CONTACT LOCAL EMERGENCY SERVICES IMMEDIATELY.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Utrack Inc, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.
13. PRIVACY AND DATA PROTECTION
Data Collection
We collect and process location data, account information, and usage data as described in our Privacy Policy.
International Data Transfers
As we operate in multiple regions (USA, Mexico, Canada, UK, Europe), your data may be transferred and processed in different countries subject to applicable data protection laws.
Data Security
We implement appropriate technical and organizational measures to protect your data, but cannot guarantee absolute security.
User Rights
You have certain rights regarding your personal data as outlined in our Privacy Policy and applicable data protection laws.
14. GOVERNING LAW AND DISPUTE RESOLUTION
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Jurisdiction
Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
Arbitration
For disputes involving amounts under $10,000, you agree to binding arbitration as an alternative to court proceedings.
Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class action lawsuits.
15. FORCE MAJEURE
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, network failures, or other force majeure events.
16. SEVERABILITY
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
17. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Utrack Inc regarding the Service.
18. ASSIGNMENT
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
19. WAIVER
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
20. NOTICES
All notices to you will be sent to the email address associated with your account. Notices to us should be sent to legal@utracki.ai.
21. EXPORT CONTROLS
You agree to comply with all applicable export control laws and regulations regarding the use of the Service.
22. ACCESSIBILITY
We strive to make our Service accessible to users with disabilities and welcome feedback on accessibility improvements.
23. BETA FEATURES
We may offer beta or experimental features that are provided “as is” with additional risks and limitations.
24. FEEDBACK
Any feedback you provide about the Service may be used by us without obligation or compensation to you.
25. SURVIVAL
Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination of these Terms.
26. UPDATES TO TERMS
We will notify you of material changes to these Terms through the Service or via email. Your continued use constitutes acceptance of the updated Terms.
